Sociedad Matriz del Banco de Chile S.A. (Chile)

In January of 1894, the Bank of Chile began operations following the merger of the assets and liabilities of the Banco de Valparaiso, the National Bank of Chile and the Agricultural Bank. This company operated as a commercial bank under the name Banco de Chile until 1996, when its Shareholders' Meeting agreed that the entity shall become an exclusive investment company governed by Law No. 19,396, changing its name to the Sociedad Matriz del Banco de Chile Simultaneously, the Sociedad Matriz del Banco de Chile created a commercial bank with the name Banco de Chile and transferred all its assets and liabilities, with the exception of the subordinated obligation with the Central Bank of Chile, an obligation assumed as a consequence of the banking crisis of the years 1982 - 1984 and the consequent financial rescue carried out by the issuing institute. Following this transformation, the sole shareholder of Banco de Chile was in the Sociedad Matriz del Banco de Chile S.A. From 1996 to 2008, the Sociedad Matriz del Banco de Chile has decreased its participation in Banco de Chile du to the rescue of E series shares, the capitalization of the Bank's profits, the merger of Banco de Chile with Banco Edwards in January 2002 and the merger with Citibank Chile in January 2008. As of June 30, 2008, the Sociedad Matriz del Banco de Chile directly and indirectly owns - through the subsidiary Sociedad Administrativa de la Obligacion Subordinada SAOS S.A. - 50.36% of the total shares of Banco de Chile. The Company's shares are divided into four series of shares: A, B, D and E. The Company's shares are traded on the Chilean Stock Exchange, the Chilean Electronic Stock Exchange and the Valparaiso Stock Exchange.
