With The Company s industry-leading marketing solutions as its entry point, The Company supports enterprises on digital operations to drive customer retention and loyalty and growing customer lifetime value with The Company s intelligent data enterprise solutions.
The Group reports two operating segments: 1) Marketing Solutions, and 2) Enterprise Solutions.
- Marketing Solutions: The marketing solutions segment serves as an integrated cross-channel gateway that provides marketers with innovative and cost-effective ways to optimize their online advertising efforts throughout their marketing cycle and achieve their branding and performance-based advertising goals.
- Enterprise Solutions: The Company launched its enterprise solutions in May 2018 to help clients collect information from different consumer touchpoints, and integrate them into a single data management platform to drive sales and marketing decisions.
The Group's principal operations and geographic market are in Greater China and have offices in Hong Kong and The People's Republic of China (“the PRC”). There are also sales teams in Singapore and the United Kingdom.
HISTORY
2009 The Company commenced its online marketing business in 2009.
2010 The Company was formed as a Cayman Islands exempted limited liability company on February 3, 2010 under the name “Optimix Media Asia Limited”.
2014 In November 2014, The Company acquired Buzzinate Company Limited, or Buzzinate, a company incorporated in Hong Kong.
2015 In July 2015, The Company acquired all shares in OptAim Ltd.
2017 In March 2017, The Company changed its name to iClick Interactive Asia Group Limited .
On December 21, 2017, The Company s ADSs commenced trading on Nasdaq Global Market under the symbol “ICLK”.
2018 In November 2018, The Company acquired Myhayo, a content distribution channel and a mobile content aggregator of articles and short videos in the PRC, which presents customized feeds to users via its mobile application.
2020 In October 2020, The Company acquired CMRS Group Holding Limited, or CMRS, a marketing automation solution provider in China.
2021 In July 2021, The Company completed the acquisition of Parllay, a personalized marketing platform with deep expertise in WeChat-based CRM, e-commerce and marketing SaaS solutions in China.
2023 On November 24, 2023, the Company entered into a definitive Agreement and Plan of Merger (the “Merger Agreement”) with TSH Investment Holding Limited (“Parent”) and TSH Merger Sub Limited (“Merger Sub”), pursuant to which Merger Sub will merge with and into the Company, with the Company continuing as the surviving company and becoming a wholly.
2024 On April 26, 2024, the Company (acting upon the recommendation of the special committee of the Company s board of directors (the “Special Committee”) exercised its right to terminate the Merger Agreement and demanded Parent to pay the termination fee of US 1,800,000 (the “Parent Termination Fee”)). As a result of the termination of the Merger Agreement, the proposed Merger did not complete.
