The Company primarily provide trucking and delivery services using its own truckload fleet and subcontractors to meet its customers' diverse transportation needs across different provinces or within Guangdong and Xinjiang in the People's Republic of China.
History
2018 The Company was incorporated on January 2, 2018 under the laws of the Cayman Islands. It s registered office is located at 27F, Yantian Modern Industry Service Center, No. 3018 Shayan Road, Yantian District, Shenzhen, Guangdong, China. It s ordinary shares have been listed on the Nasdaq Capital Market under the symbol “YGMZ” since October 21, 2020.
2018 The Company has no substantive operations other than holding all of the outstanding share capital of MingZhu Investment Limited (“MingZhu BVI”) established under the laws of the British Virgin Islands on January 15, 2018. MingZhu BVI is also a holding company holding all of the outstanding equity of YGMZ (Hong Kong) Limited (“MingZhu HK”) which was incorporated in Hong Kong on February 2, 2018.
2021 The Company entered into a Share Purchase Agreement (the “SPA”) to acquire 100 of the equity interest of Cheyi (BVI) Limited (the “Cheyi BVI”) which operates its business through its subsidiary Zhejiang CheYi Network Technology Co., Ltd. (the “CheYi Network”), an integrated online car-hailing and driver management services company On December 29, 2021.
2022. On March 14, 2022, the Company entered into a Share Purchase Agreement with Yinhua which develops and operates a comprehensive auto related service platform to serve auto insurance companies, and each of the shareholders of the Yinhua.
On December 21, 2022, the Company entered into a Share Purchase Agreement with Feipeng BVI which provides regional trucking services. On December 21, 2022, the parties completed the transaction. Upon the closing of the transaction, The Company acquired 100 of the outstanding shares of the Feipeng BVI, and we paid 9,550,000 in cash to the sellers.
2023. On May 26, 2023, the Company entered into a Share Purchase Agreement with the Alliance BVI, which is engaged in liquor distribution via its VIE, and each of the shareholders of the Alliance BVI.
